Agreement between User and umevllc.com

 

Welcome to umevllc.com. The umevllc.com website (the “Site”) is comprised of various web pages operated by Umeversity, Benefit LLC (“Umeversity”). umevllc.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of umevllc.com constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy for your reference.

Umeversity is an educational and interactive platform offering polls, reflections, and virtual and in-person experiences focused on human connection, exploring perspectives, learning, and personal alignment.

Umeversity is a platform created to support reflection, the exchange of perspectives and opinions, and continuous learning. Through interactive polls, user-submitted responses, and curated experiences, the website encourages awareness and exploration. Umeversity also hosts both virtual and in-person events, including complimentary and paid offerings, designed to deepen understanding and human connection.

 

Privacy

Your use of umevllc.com is subject to Umeversity’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

 

Event Participation Policy

Umeversity hosts both virtual and in-person experiences designed to support reflection, human connection, exploring other perspectives, personal alignment, and learning. All participants are required to follow the rules, expectations, and guidelines outlined in Umeversity’s Event Participation Policy. By registering for or attending any Umeversity event, users acknowledge and agree to the Event Participation Policy, which governs participant conduct, safety, recording restrictions, removal from events, and other participation requirements.

In the event of any conflict between these Terms and the Event Participation Policy, the Event Participation Policy will govern all matters related to event participation.

 

Limitation of Liability

To the fullest extent permitted by law, Umeversity, its owners, affiliates, partners, and contributors are not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the Site, participation in experiences, reliance on content, or submission of reflections or poll responses.

This includes, without limitation, damages for loss of data, loss of profits, emotional distress, personal dissatisfaction, interruption of service, or inability to access the Site. Umeversity does not guarantee that the Site will operate without interruption, errors, or security vulnerabilities.

 

Users acknowledge that Umeversity provides reflective and educational content only, and that all insights, interpretations, and personal outcomes are the sole responsibility of the user. Umeversity’s total liability for any claim arising out of or relating to the Site shall not exceed the amount, if any, paid by the user to access Umeversity’s services.

By using the Site, users agree to this limitation of liability.

 

Indemnification

Users agree to indemnify, defend, and hold harmless Umeversity, its owners, affiliates, partners, contributors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • their use of the Site or participation in experiences
  • their submissions, reflections, poll responses, or other content
  • their violation of these Terms
  • their violation of any applicable laws or rights of third parties
  • any misuse, disruption, or unauthorized access involving the Site

This obligation applies even if the claim is made by another user, a third party, or any external entity. Umeversity reserves the right to assume exclusive defense and control of any matter subject to indemnification, and users agree to cooperate fully with any such defense.

 

User Submissions

Umeversity allows users to submit reflections, poll responses, comments, and other forms of personal expression (“User Submissions”) as part of the Site’s interactive learning experiences. Users retain ownership of their individual submissions. However, by providing any User Submission, users grant Umeversity a non‑exclusive, worldwide, royalty‑free license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from the submission for purposes related to Umeversity’s educational mission, including experience development, research, insights, content creation, and platform improvement.

Umeversity may use User Submissions in aggregated, anonymized, or de-identified form to support reflection, exploring different perspectives and opinions, and continuous learning across the platform. Umeversity will not publicly attribute individual submissions to specific users unless explicit permission is provided.

Users are responsible for ensuring that their submissions do not infringe on the rights of others, contain confidential information, or violate any applicable laws. Umeversity may remove or decline to use any submission that violates these Terms or disrupts the learning environment.

By submitting content to the Site, users acknowledge and agree to this license and usage policy.

 

Termination of Access

Umeversity may suspend, restrict, or terminate a user’s access to the Site or any Umeversity experience at any time and for any reason, including violation of these Terms, disruption of events, misuse of the platform, submission of inappropriate content, or behavior inconsistent with Umeversity’s learning‑centered environment. Umeversity may also remove or disable access to any content or submission that violates these Terms or is otherwise deemed harmful, misleading, or inappropriate.

Termination may occur without prior notice. Users agree that Umeversity is not liable for any loss of access, data, or content resulting from such termination. All provisions of these Terms that by their nature should survive termination—including intellectual property rights, disclaimers, limitations of liability, and indemnification—shall continue in full force and effect.

 

General Prohibited Conduct

Users agree not to engage in any conduct that interferes with the operation, integrity, or purpose of the Umeversity platform. Prohibited conduct includes, but is not limited to:

  • submitting false, misleading, or intentionally harmful reflections or poll responses
  • attempting to manipulate or distort interactive experiences, polls, or learning outcomes
  • impersonating any person or entity or misrepresenting affiliation with Umeversity
  • attempting to disrupt virtual or in‑person experiences, including through abusive, harassing, or inappropriate behavior
  • attempting to bypass, disable, or interfere with any security features of the Site
  • accessing or attempting to access areas of the Site not intentionally made available to users
  • using automated tools, bots, scripts, or scraping technologies to collect data from the Site
  • uploading or submitting content that infringes on intellectual property rights or violates any applicable laws
  • using the Site for any commercial, promotional, or solicitation purposes not expressly permitted by Umeversity
  • engaging in any activity that undermines the reflective, respectful, and learning‑centered environment Umeversity is designed to support

Umeversity reserves the right, in its sole discretion, to remove content, restrict access, or terminate participation for any conduct that violates these Terms or disrupts the learning environment.

 

Educational Content Disclaimer

Umeversity provides reflective, educational, and experiential content designed to explore different perspectives and opinions, human connection, personal alignment, and learning.

The Site and its events do not provide therapy, counseling, mental‑health treatment, medical advice, or professional services. All content, reflections, polls, and experiences are intended for informational and educational purposes only.

Users are solely responsible for how they interpret and apply any insights gained through the platform. Umeversity does not guarantee specific outcomes, personal transformation, or emotional results. Users should not rely on any content or experience as a substitute for professional advice, diagnosis, or treatment from qualified providers.

If users have questions related to mental health, medical conditions, or other professional matters, they should seek guidance from licensed professionals. By using the Site, users acknowledge and agree to this disclaimer.

 

Proprietary Content & Commercial Use Restriction

Umeversity provides learning experiences on a complimentary or paid basis, depending on the specific offering. All proprietary educational content, original materials, structured modules, frameworks, methods, presentations, and branded educational systems developed by Umeversity remain the intellectual property of Umeversity.

Participants may use the knowledge and skills gained through Umeversity experiences for their own personal learning, development, and activities. Participation in a complimentary or paid offering, however, does not transfer ownership of Umeversity’s proprietary content or grant a license to reproduce or commercially exploit that content.

 

Users may not copy, reproduce, distribute, publish, sell, license, teach, adapt, or create derivative educational or commercial materials based upon Umeversity’s proprietary content, including its original curriculum, course structure, modules, frameworks, presentations, instructional materials, or branded systems, without prior written permission from Umeversity.

Nothing in this provision prohibits participants from independently using general ideas, facts, skills, or knowledge they have learned. The restriction applies to the copying, repackaging, adaptation, teaching, distribution, or commercial use of Umeversity’s proprietary expression, materials, and original educational content.

 

Electronic Communications

Visiting umevllc.com or sending emails to Umeversity constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email, and on the Site, satisfy any legal requirement that such communications be in writing.

 

Children Under Thirteen

Umeversity does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use umevllc.com only with permission of a parent or guardian.

 

Access Without Accounts

Umeversity does not require users to create accounts or maintain login credentials to access the Site. All features, including polls, reflections, and event information, are available without registration. Users may be asked to provide basic information when registering for paid or complimentary events, and they are responsible for ensuring that such information is accurate and complete. Umeversity does not store user profiles, passwords, or account‑based data, and users are solely responsible for safeguarding any information they choose to provide during event registration or participation.

 

Cancellation/Refund Policy

Registration fees are non‑refundable. No refunds or credits will be issued if a participant cancels their registration, fails to attend an event, arrives late, leaves early, or is unable to participate for any reason. If Umeversity cancels an event for reasons not caused by Force Majeure, registered participants will receive a full refund of any registration fees paid.

If an event is canceled, postponed, or rescheduled due to Force Majeure, Umeversity may, at its discretion, offer a refund, credit, or rescheduled event. No refunds are guaranteed for Force Majeure cancellations.

Force Majeure

Umeversity shall not be responsible for delays, cancellations, or changes resulting from circumstances beyond its reasonable control, including severe weather, natural disasters, public health emergencies, government actions, power outages, venue issues, or other unforeseen events. If an event is affected by Force Majeure, refunds, credits, or rescheduling will be handled in accordance with the Refund & Cancellation policy.

 

Payment Terms

All paid events offered by Umeversity require full payment at the time of registration. By completing a purchase, users authorize Umeversity and its payment processor to charge the payment method provided for the total amount displayed at checkout, including any applicable taxes. Umeversity does not store payment card information, and all transactions are processed securely through third‑party payment providers.

Users are responsible for ensuring that payment information is accurate and that sufficient funds are available to complete the transaction. In the event of a failed or declined payment, registration will not be confirmed. Umeversity reserves the right to cancel any registration that cannot be successfully processed.

Chargebacks or payment disputes initiated by the user may result in immediate cancellation of event access. Umeversity may, at its sole discretion, provide documentation to the payment processor to contest any unwarranted chargebacks.

All fees are non‑refundable as stated in the Cancellation/Refund Policy. By registering for an event, users acknowledge and agree to these payment terms.

 

Links to Third Party Sites/Third Party Services

umevllc.com may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Umeversity and Umeversity is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Umeversity is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Umeversity of the site or any association with its operators.

Certain services made available via umevllc.com are delivered by third party sites and organizations. By using any product, service or functionality originating from the umevllc.com domain, you hereby acknowledge and consent that Umeversity may share such information and data with any third party with whom Umeversity has a contractual relationship to provide the requested product, service or functionality on behalf of umevllc.com users and customers.

 

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use umevllc.com strictly in accordance with these Terms of Use. As a condition of your use of the Site, you warrant to Umeversity that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Umeversity or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Umeversity content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Umeversity and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Umeversity or our licensors except as expressly authorized by these Terms.

AI-Generated Imagery

Images currently displayed throughout the Umeversity™ website are AI-generated and are used for illustrative and representational purposes. These images do not depict actual Umeversity events, participants, attendees, or representatives. AI-generated imagery may be replaced with original photography as Umeversity events and experiences take place.

Use of Communication Services

The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

Umeversity has no obligation to monitor the Communication Services. However, Umeversity reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Umeversity reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Umeversity reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Umeversity’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Umeversity does not control or endorse the content, messages or information found in any Communication Service and, therefore, Umeversity specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Umeversity spokespersons, and their views do not necessarily reflect those of Umeversity.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

 

International Users

The Service is controlled, operated and administered by Umeversity from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Umeversity Content accessed through umevllc.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Copyright Infringement Notice

If a user believes that any content on the Site infringes their copyright, they may submit a written notice containing the following information:

  • Identification of the material that is claimed to be infringing, including its location on the Site.
  • Contact information of the complaining party, including name, address, telephone number, and email address.

Umeversity may remove or disable access to allegedly infringing material and may terminate access for users who repeatedly infringe the rights of others.

 

Counter‑Notification

If a user believes that content removed under a DMCA notice was removed in error, they may submit a counter‑notification containing:

  • Identification of the material that was removed and its prior location.
  • A statement under penalty of perjury that the user has a good‑faith belief the material was removed due to mistake or misidentification.
  • The user’s name, address, telephone number, and email address.
  • A statement consenting to the jurisdiction of the federal courts in the user’s location.
  • The user’s physical or electronic signature.

Upon receiving a valid counter‑notification, Umeversity may restore the removed content unless the original complainant initiates legal action.

 

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict‑of‑law principles. Users agree that any dispute, claim, or legal proceeding arising out of or relating to the Site, Umeversity experiences, or these Terms shall be brought exclusively in the state or federal courts located in Maryland. By using the Site, users consent to the jurisdiction and venue of these courts.

 

Arbitration

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms of Use, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms of Use, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms of Use or any disputes arising as a result of these Terms of Use, whether directly or indirectly, including Tort claims that are a result of these Terms of Use. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms of Use.

 

Class Action Waiver

Any arbitration under these Terms of Use will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Umeversity agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

 

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. UMEVERSITY, BENEFIT LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

UMEVERSITY, BENEFIT LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. UMEVERSITY, BENEFIT LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UMEVERSITY, BENEFIT LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF UMEVERSITY, BENEFIT LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

 

Severability
If any provision of these Terms of Use is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

 

Changes to Terms

Umeversity reserves the right, in its sole discretion, to change the Terms under which umevllc.com is offered. The most current version of the Terms will supersede all previous versions. Umeversity encourages you to periodically review the Terms to stay informed of our updates.
